PodcastOne announced that it has received inbound interest from multiple strategic parties about a potential acquisition of the company and is in discussions with each of them. The company’s Board of Directors has formed a special committee of independent directors to oversee the process and intends to retain an investment banker to help evaluate the offers and other alternatives.

The Board said it believes PodcastOne’s current stock price does not reflect the value of its business. The company recently ranked as the sixth-largest U.S. podcast publisher according to Podtrac, with more than 1 billion monthly impressions and a diversified base of advertising and data-driven revenue. In the Board’s view, the market has not fully recognized the value of PodcastOne’s scale, audience reach and proprietary data, including what those assets may be worth to a strategic owner.

PodcastOne cited several assets in making that case: more than 12 years of independent operation, a roster of more than 200 podcasters, 750,000 hours of content it says is suited for LLM, SLM, RAG and AI training and data licensing, and potential monetization through conversational search, AI agents, APIs, SaaS and semantic discovery. The company also pointed to creator-driven IP with streaming and second-window opportunities in TV and film, and reported $61.7 million in fiscal 2026 revenue.

“The level of strategic interest we are seeing supports the Board’s long-held view that the market has not valued our platform for what it has achieved,” said Robert Ellin, PodcastOne’s Executive Chairman. “We intend to run a rigorous, competitive process on behalf of all shareholders.”

The company said it will continue discussions with interested parties while the process is structured and will evaluate all proposals with a view toward maximizing shareholder value. PodcastOne cautioned there is no assurance the process will result in a transaction and said it does not intend to comment further unless and until it determines disclosure is appropriate or required.

PodcastOne has surpassed 3.9 billion total downloads and counts Adam Carolla, Kaitlyn Bristowe, Jordan Harbinger, LadyGang and A&E’s Cold Case Files among its roster of podcasters and shows, with distribution across YouTube, Spotify, Apple Podcasts and iHeartRadio.
